Corporate Law Clerk
POSITION INFORMATION
Position Title: Corporate Law Clerk
Department: Legal
Reports To: Legal Counsel
MAJOR DUTIES
Performs the duties of a corporate law clerk within the corporate legal department. Special assignments related to corporate finance and legal department activities may arise from time to time.
SPECIFIC RESPONSIBILITIES
- Coordinate and maintain corporate records of ATS subsidiaries and ensure required filings and registrations are completed on a timely basis in accordance with applicable law.
- Arrange subsidiary shareholder and board meetings, assist with planning and agendas, and manage meeting logistics, including the coordination, preparation and distribution of notifications, materials, meeting agendas, and resolutions.
- Assist with preparation and organization of agreements, closing documents and correspondence, relating to intercompany and real estate transactions.
- Carryout research as required and create and maintain templates.
- Efficiently handle time sensitive matters and materials, including corporate compliance issues.
- Assist with the creation, organization, merger/amalgamation and windup of entities, as required.
- Assist with corporate acquisitions, dispositions, due diligence, and tax and other reorganizations.
- Prepare reports on an as-needed basis and initiate follow up actions when and where necessary.
- Assist with coordination and implementation enterprise-wide corporate governance initiatives.
- Systematically organize, track, and maintain document files and correspondence, using, where appropriate, computer databases and software.
- Ensure that all business activities are performed with the highest ethical standards and in compliance with the ATS Code of Business Conduct.
- Adhere to all health and safety rules and procedures.
- Other duties as assigned.
QUALIFICATIONS
Education:
A post-secondary law clerk diploma/certificate or an equivalent combination of training, education, and experience.
Experience:
- Minimum 2 years related experience as a corporate law clerk
- Working knowledge of corporate law and related terminology and principles
- Experience with regulatory compliance filings/registrations
- Ability to analyze legal documents for accuracy and completeness
- Produce high quality work product, occasionally under tight timelines
- Expertise with Word, Excel, PowerPoint, and other commonly used software
- Possess strong organizational skills and be detail oriented
- Individual must have an ability to communicate effectively with people at all levels within and outside of the organization, both orally and in writing
- Ability to work with minimal supervision and guidance in a team-oriented environment is mandatory
- Individual must demonstrate initiative, be hands-on, able to meet deadlines, and to maintain the confidentiality critical to the role
