Legal Counsel

Job Summary

Position Title:    Legal Counsel, Italy (Full-Time, Fixed-Term Maternity Cover – 12 months)

Reports To:      Senior Legal Counsel -  Italy
Employer:        CFT SpA  (ATS Group)

Annual Gross Salary Range: EUR 80,000 – EUR 90,000 per year; the salary is determined based on the candidate’s experience, skills and seniority, in line with the Company’s internal compensation framework and the applicable National Collective Bargaining Agreement (CCNL Industria).

Employment Classification: Quadro, in accordance with the applicable National Collective Bargaining Agreement (Contratto Collettivo Nazionale di Lavoro – CCNL Industria) and the Company's policies.

Work Location: Parma, Italy, with a hybrid working arrangement in accordance with the Company's Smart Working Policy. Occasional travel within Italy and abroad may be required.

As a member of the Global Legal Team, the Legal Counsel will provide timely, pragmatic and business-oriented legal support to ATS Group's Italian entities, supporting the business in achieving its strategic objectives while appropriately managing legal and compliance risks. The successful candidate will work closely with internal stakeholders and external counsel on a broad range of commercial, corporate, compliance and operational legal matters.

 

The role is intended to cover a maternity leave absence.

SPECIFIC RESPONSIBILITIES

Provide legal support to internal clients across all aspects of business operations, including:
•    commercial contracts;
•    corporate governance;
•    regulatory compliance, including Legislative Decree 231/2001;
•    supplier, customer and partner relationships;
•    dispute and litigation management;
•    leasing and real estate matters;
•    employment-related legal matters.
•    Draft, review, negotiate and support the implementation of commercial agreements.
•    Provide practical legal advice to business functions to facilitate sound commercial decision-making.
•    Promote compliance with corporate policies, internal controls and contracting procedures.
•    Identify, assess and mitigate legal and compliance risks.
•    Collaborate with key internal stakeholders, including General Management, Human Resources, Finance and Operations.
•    Support strategic projects, including corporate reorganizations, acquisitions and integrations, as required.
•    Coordinate and manage external legal counsel.
•    Contribute to the continuous improvement of legal processes, templates and governance practices.
•    Support the implementation and promotion of ethical business practices and compliance with the ATS Code of Business Conduct.
•    Comply with all applicable health and safety requirements.
•    Travel may be required from time to time. 

QUALIFICATIONS

Education:
•    Degree in Law obtained from an accredited Italian university. 
•    Italian BAR qualification

Experience:
•    Approximately 9–12 years of post-qualification experience gained in reputable law firms and/or multinational companies.
•    Solid experience in commercial and corporate law.
•    Solid knowledge of Italian corporate governance, commercial contracts, compliance and Legislative Decree 231/2001, GDPR and data protection regulations.
•    Strong legal analysis and problem-solving skills.
•    Excellent drafting and contract negotiation capabilities.
•    Ability to manage multiple priorities in a dynamic international environment.
•    Strong business acumen and commercial judgment.
•    Effective stakeholder management and communication skills.
•    Fluency in both Italian and English languages is a requirement.
•    Knowledge of international trade and export control regulations is desirable.
•    Experience supporting industrial, manufacturing or technology businesses is considered an asset. 

ADDITIONAL INFORMATION

•    Employment Contract: Fixed-term employment contract for maternity leave replacement.
